Terms of Service

By creating an account, clicking “I agree,” or otherwise accessing or using the Service, you represent that: (a) you are at least 18 years of age; (b) you have the authority to bind the organization you represent; and (c) you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Mirian AI is an agentic CFO operating system for mid-market B2B finance teams. The Service includes:

• Accounts Receivable Automation: Collections workflows, aging analysis, customer communication, and payment tracking
• Accounts Payable Optimization: Bill management, vendor payment workflows, and approval automation
• Financial Close: Month-end close task management and reconciliation
• Cash Flow Forecasting: AI-driven projections, scenario modeling, and cash position tracking
• Mirian Pulse: AI copilot for financial queries, summaries, and workflow guidance
• ERP and Bank Integrations: Automated data sync from connected systems

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

To use the Service, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at hello@mirianai.com
• Ensuring that all users in your organization comply with these Terms

You may not share account credentials between individuals. Each user must have their own account. We are not liable for losses caused by unauthorized use of your account.

Access to Mirian AI requires a paid subscription. The following billing terms apply:

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Upload or transmit malicious code, viruses, or any software designed to damage or disrupt the Service
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service
• Scrape, crawl, or use automated means to extract data from the Service beyond your normal authorized use
• Resell, sublicense, or make the Service available to third parties outside your organization
• Use the Service to process data on behalf of third parties without a separate written agreement
• Attempt to circumvent any security, access control, or rate-limiting mechanism
• Interfere with the proper operation of the Service or the experience of other users

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these acceptable use requirements.

Mirian AI Platform: The Service, including all software, algorithms, models, user interfaces, designs, documentation, and underlying technology, is owned by Mirian AI, Inc. and protected by intellectual property laws. These Terms do not grant you any ownership interest in the Service. You receive only the limited right to use the Service as described herein.

Feedback: If you provide suggestions, feedback, or ideas about the Service (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize that Feedback without restriction or compensation to you.

Ownership: You retain full ownership of all data, financial records, and content you upload, import, or generate through the Service (“Customer Data”). These Terms do not transfer any ownership of Customer Data to Mirian AI.

License to Operate: You grant Mirian AI a limited, non-exclusive license to access, process, store, and use your Customer Data solely to provide the Service, as described in our Privacy Policy. This license terminates when your account is closed.

Your Responsibility: You are responsible for the accuracy, legality, and integrity of your Customer Data. You represent that you have all rights and permissions necessary to provide Customer Data to Mirian AI.

Aggregated Data: We may use anonymized, aggregated, non-identifiable data derived from the Service to improve our products and publish benchmarks, provided such data cannot be used to identify you or your organization.

The Service uses artificial intelligence and machine learning to generate forecasts, workflow suggestions, collection strategies, financial summaries, and other outputs (“AI Outputs”). You acknowledge and agree that:

• AI Outputs are suggestions and informational aids only — they do not constitute financial, tax, legal, or accounting advice
• You are solely responsible for all financial decisions made using or informed by AI Outputs
• AI Outputs may contain errors or inaccuracies; you should independently verify any AI Output before relying on it for material business decisions
• Mirian AI is a software platform, not a registered investment advisor, broker-dealer, or financial institution

We target 99.9% monthly uptime for the Service, excluding scheduled maintenance windows. We will provide reasonable advance notice of planned maintenance via email or in-app notification.

The Service is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation. Downtime caused by factors outside our reasonable control (including third-party infrastructure, force majeure events, or your own systems) is excluded from uptime calculations.

If you require an enterprise SLA with specific uptime guarantees and remedies, please contact us to discuss a custom agreement.

Disclaimer of Warranties: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Cap on Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIRIAN AI'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL NOT EXCEED THE GREATER OF: (A) THE FEES PAID BY YOU TO MIRIAN AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Exclusion of Consequential Damages: IN NO EVENT SHALL MIRIAN AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF REVENUE, PROFITS, BUSINESS, DATA, OR GOODWILL) EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Mirian AI, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your Customer Data, including any claim that your Customer Data infringes any third-party right; (c) your violation of any applicable law or regulation; or (d) your negligence or willful misconduct.

By You: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

By Us: We may suspend or terminate your access to the Service immediately and without notice if you violate these Terms, fail to pay fees when due, or if we determine in our sole discretion that continued service poses a legal, security, or reputational risk.

Data Export: After termination, we will make your Customer Data available for export for 30 days. After that period, we will delete your data in accordance with our Privacy Policy. It is your responsibility to export your data before the 30-day window closes.

Effect of Termination: Sections 6, 7, 8, 10, 11, 13, and 14 survive termination of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You consent to the personal jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration under Section 14.

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or a prominent in-app notification before the updated Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date of the changes.

Entire Agreement: These Terms, together with our Privacy Policy and any signed order form, constitute the entire agreement between you and Mirian AI regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force.

No Waiver: Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment: You may not assign these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, pandemics, government actions, or infrastructure outages.
